Definitions

In these Terms & Conditions:

I/Me means Clare D'Souza t/a Clare D'Souza Proofreading & Editing Services.

You/Client means the Clare D'Souza Proofreading & Editing Services client specified in the Quotation.

Contract means the contract between Clare D'Souza Proofreading & Editing Services and the Client for the supply of Services in accordance with the Quotation and these Terms and Conditions and as otherwise agreed from time to time.

Quotation means the fee payable and payment terms for the Services.

Services means the proofreading and editing services provided by Clare D'Souza Proofreading & Editing Services to you in accordance with the instructions agreed between both parties.

General Overview

These terms & conditions apply to any proofreading and editing work carried out by me on behalf of the Client.

The Services provided will be agreed in writing following information and instruction provided to me by the Client.

Work will be carried out unsupervised at such times and places as determined by me, using my own equipment.

I am not VAT registered.

Project Terms

Prior to the commencement of the work, agreement, in writing, will be made on the following:

The medium in which the proofreading service will be carried out (e.g. word or PDF).

The length of time required to complete the project, as determined by me.

A fee for the project based on the Quotation supplied by me, in writing, following a review of the work required and the time frame required to complete it.

The date by which the material will be delivered by the Client to me.

The date by which the completed project will be returned by me to the Client.

Please note that if, on review of the project, it becomes apparent that the nature or amount of the work is significantly greater than originally specified, it may be necessary to renegotiate the fee and/or deadline for completion.

Quotations, Fees and Payment Terms

A Quotation will be provided, in writing, following discussion with the Client as to what is required and an evaluation of the project via a representative sample provided by the Client.

Fee rates will be agreed with the Client as part of the Quotation process.

A non-refundable booking fee of 30% of the total cost of the project will be required to secure your booking.

The Client will be invoiced the total cost (minus the 30% booking fee) immediately upon completion of the project.

Payment terms are 7 days from the date of the invoice.

Cancellation Policy

The Contract commences on the date the Client first instructs Clare D'Souza Proofreading & Editing Services to provide the Service. The Client accepts the Terms & Conditions of this Contract by instructing me to provide Services in accordance with the Quotation.

Either party may, by written notice, terminate the Services with immediate effect (and without any notice) if either Party commits a serious breach of, or persistently breaches, any of their obligations under the Contract.

Either party may terminate the Services at any time by giving one month’s prior written notice to the other.

Upon termination of the Services for any reason, all fees and expenses incurred up to the date of termination and remaining unbilled will be immediately due and payable.

Confidentiality

The information that I may keep on record is covered by the terms of the General Data Protection Regulation. No more of such information will be held than is necessary, at any time, to comply with those terms and any compliance statement or privacy policy published by me. Where consent is required to hold or process such data, such consent has been requested and obtained.

The nature and content of the work carried out will be kept confidential and will not be shared with anyone other than the Client and its contractors without prior written permission.

All content delivered to me by the Client for the proofreading/editing project is owned by the Client.

In this respect, the Client agrees to hold me harmless from and against all claims, liabilities and expenses arising out of any potential or actual copyright or trademark misappropriation or infringement claimed against them.

Following payment of my invoice, any content created by me as part of the proofreading/editing process will become the copyright of the Client.

Legal Jurisdiction

These Terms and Conditions shall be governed by English Law and the parties agree to submit to the exclusive jurisdiction of the English Courts.
